تعد ظاهره الرشوة من الظواهر الخطيرة التي تعاني منها المجتمعات وبدرجات متفاوتة نظرا لاختلاف نظمها الاقتصادية والاجتماعية والسياسية ، فهي سلوك منحرف عن الواجبات الأساسية للعمل، ينجم عنها حصول صاحب السلطة على مكاسب  شخصية على حساب المصلحة العامة، وهي لا تقتصر على قطاع معين بل قد تمتد إلى ابعد من ذلك فتشمل كافة قطاعات الدولة والقطاع الخاص، وينتج عنها شلل في عملية البناء والتنمية الاقتصادية، وتدمير للقدرة المالية والإدارية، وبالتالي فقد بات التصدي لهذه الظاهرة حاجة ملحة، والبحث في أسبابها واتساعها وانتشارها أمر في غاية الأهمية.
وفي هذا المجال تعد حوكمة الشركات إحدى الأدوات الفعالة لمكافحة انتشار الرشوة، نظرا لاحتوائها على مجموعة من الآليات صنفت إلى آليات داخلية وأخرى خارجية تمكنها منضمان الاستخدام الأمثل للموارد المتاحة بما يخدم مصالح جميع الأطراف ذات العلاقة في الشركة داخليا وخارجيا بطريقة عادلة، فالحوكمة هي مجموعة ممارسات تنظيمية وإدارية تضبط العلاقة بين أصحاب المصالح المختلفة بمن فيهم متلقو الخدمة، وتحمي حقوق الأطراف ذوي العلاقة من الممارسات الخاطئة للمديرين.
The phenomenon of administrative and financial corruption considered as a dangerous phenomena experienced by communities and to varying degrees due to the difference of their economic, social and political, it is the deviate behavior from the basic duties of the work, upon that the power man is obtainingand growing gains at the expense of public interest, which is not limited to a particular sector but may extends beyond that include all sectors of the state and the private sector, and result in paralysis of the process of construction and economic development, and the destruction of the ability of financial, administrative, thus addressing this phenomenon is an urgent need, and look for its causes or its expansion and spread is extremely important.
In this area corporate governance is one of the effective tools to combat the financial and administrative corruption, because it contains a variety of mechanisms which are classified into internal mechanisms and external those enable them to ensure the optimal use of available resources to fairly serve the interests of all stakeholders in the company either internally or externally. Governance is a group of regulator and administrative practices which control the relationship between the different stakeholders, including the recipients of service, and they protect the rights of the involved parties from wrong practices of managers.
